Oregon/delaware startup package

• We will meet to discuss your specific intentions for the business, help you select a company name likely to gain approval from the Secretary of State, and agree upon the proper entity structure.

• Depending on if an LLC, S Corp, or C Corp is appropriate, we will draft and prepare the appropriate and required documents to capture the business and/or partnership intent.

• For an LLC, we may be appointed as Registered Agent and will deliver the Articles of Organization, Member’s and Manager Initial Resolutions, as well as the LLC Operating Agreement.

• For a Corporation, we will deliver the Certificate of Incorporation, Shareholder’s and Director Initial Resolutions, as well as the Corporate By-Laws.

• We will also obtain the Federal Tax Identification Number (also known as an EIN) for the new company, which is typically necessary for tax and banking purposes.

• We will also, of course, answer all your start-up questions and provide Legal + Business Counsel.

General counsel Essential

• This package is designed for established businesses that are growing and need a go-to lawyer that is responsive and budget-friendly.

• We will get to know your business on a deeply personal level, which will enable us to provide the most personalized legal services that do more than just meet your business needs. This package keeps legal costs predictable.

• We will act as your general counsel, proving regular advice on the issues that arise in your business, including contract review and preparation.

• The monthly fee entitles you to up to one hour of legal services (a $315.00 value), and a 5% discount on of hourly fees for other services.

employment and Custom contract services

• When someone asks you to review and sign a contract, we can help you review the document to look for red flags, abnormal language, or unreasonable allocations of risk.

• We can also help you edit contracts other parties ask you to sign, which can include leaving comments in an email or the document itself, creating redline changes, negotiating with the other party or their counsel.

• We are also able to draft custom contract templates tailored to your business needs. We will make sure the template matches the way you run your business and will provide counsel along the way.

LLC or Corporation Buy-Sell Agreement

• For limited liability companies (LLCs) or closely held corporations with multiple owners, a buy-sell agreement provides specific rules to govern the transfer of shares or membership interests in the event of death, disability or the desire for one owner to exit the business.

• If your business routinely enters into agreements with customers, clients, or other businesses, or your company has employees and/or independent contractors, then the General Counsel Executive Package is right for you.

• We will act as your general counsel, providing regular advice on the issues that arise in your business, including contract review and preparation.

• The monthly fee entitles you to up to two hours of legal services (a $630.00 value), and a 10% discount on of hourly fees for other services.

Terms of Service, Privacy Policy, & DMCA Policy

• We will meet to discuss liability stemming from running a website and how implementing website legal terms can protect your business.

• We’ll draft custom Terms of Service (which is effectively a contract between you and your website visitors), a custom Privacy Policy (your policy regarding what information you collect and how you use it), and when applicable we will include a DMCA Policy along with guidance on how to register with the Copyright Office for DMCA purposes.

Intellectual property audit + Strategy counseling session

• We will meet to discuss your current IP protections, trademark law, what you can and can’t protect, and what International Class and Goods/Services Description best fits your trademark.

• We will draft a formal trademark search request and provide a written review of the results (typically 100+ pages) for potential conflicts and offer guidance on potential next steps to protect your trademark.

• We’ll then draft and file your application and handle basic post-application correspondence (not including appeals).

Non-Profit or B-Corp Formation

• This package includes a legal roadmap session (to include an expanded discussion of non-profit formalities, grant documents, board of directors, etc.) and the formation of an Oregon Non-Profit (or if applicable, a Benefit Corporation).

• We’ll draft your Articles, Bylaws, Shareholder Agreement, grant documents, associated resolutions, your first cap table (all of which will go into your digital minute book), and obtain your EIN from the IRS.
